1. Who we are and what this Policy covers
1.1 This Refund Policy (“Policy”) is issued by AYNI TOKEN INC., a company incorporated in the British Virgin Islands (Company Number 2174797, registered office: 19 Waterfront Drive, P.O. Box 3540, Road Town, Tortola VG1110, British Virgin Islands) (the “Company”, “we”, “us”), the operator of the Ayni Gold platform (the “Platform”).
1.2 This Policy applies to purchases of Gold Units made directly from the Company through the Official Shop (the primary market within Ayni’s Market), using any payment method made available at checkout (each, a “Purchase”).
1.3 This Policy forms part of, and must be read together with, the Terms of Use, the Privacy Policy, the AML/KYC & Compliance Policy and the applicable Product Schedule. Capitalized terms not defined here have the meaning given in the Terms of Use. In the event of a conflict between this Policy and the Terms of Use in relation to refunds for Gold Units, this Policy prevails.
1.4 This Policy does not apply to:
- acquisitions of Gold Units from other users on the Marketplace (see Section 10);
- any products or features of the Platform other than Gold Units; or
- reward accrual, allocation, claiming or settlement, which are governed by the Terms of Use and the applicable Product Schedule.
2. Gold Units and immediate delivery
2.1 A Gold Unit is a digital participation unit recorded on the Platform, as described in the Terms of Use and the Gold Units Whitepaper. Gold Units are digital content / digital items; they are not physical goods, and no physical delivery takes place.
2.2 Delivery. A Gold Unit is delivered when it is credited to your Platform account and appears in your account inventory. Delivery normally occurs promptly after the payment provider confirms your payment — usually within minutes.
2.3 The listed price. The price displayed for a Gold Unit in the Official Shop at checkout is the total amount you are charged for that Gold Unit. Payment processing fees for Official Shop purchases are borne by the Company. Your bank or card issuer may independently apply currency conversion or other charges under your agreement with them; these are outside the Company’s control and are not refundable by the Company.
2.4 No buyback or redemption. As set out in the Terms of Use, the Company has no obligation to redeem, repurchase or buy back Gold Units, and a refund under this Policy is not a redemption. Nothing in this Policy creates any right of exit, buyback or guaranteed liquidity.
3. General rule: Purchases are final once the Gold Unit is delivered
3.1 Because a Gold Unit is a digital item that is delivered immediately and begins to participate in the Platform’s reward mechanics upon activation, all Purchases are final and non-refundable from the moment the Gold Unit is delivered to your account, except: (a) in the cases described in Section 4; or (b) where a refund is required by mandatory applicable law (see Sections 5 and 13).
3.2 By completing a Purchase, you expressly request and consent to immediate delivery of the Gold Unit and acknowledge that, where you have a statutory right of withdrawal, you lose that right once delivery has begun (see Section 5).
4. When a refund is available
4.1 You are entitled to a refund of a Purchase in the following cases:
- Non-delivery. Your payment was confirmed and charged, but the Gold Unit was not delivered to your account, and we are unable to deliver it within 72 hours of payment confirmation. You may choose delivery (as soon as we are able to provide it) or a full refund.
- Duplicate charge. You were charged more than once for the same Purchase. The duplicate amount(s) will be refunded in full.
- Incorrect amount. The amount charged differs from the price displayed at checkout. We will refund the difference or, at your option, cancel the Purchase and refund it in full (in which case the Gold Unit is cancelled under Section 9).
- Company technical error. A technical error on our side materially affected your Purchase (for example, a different tier was delivered than the one purchased). We will correct the error or, where correction is not possible, refund the Purchase (in which case the Gold Unit is cancelled under Section 9).
- Cancellation by the Company before delivery. We cancel your order before delivery (for example, for eligibility, availability or compliance reasons). The Purchase will be refunded in full.
4.2 Refunds under this Section 4 are processed to the original payment method, as described in Section 8.
5. EU/EEA and UK consumers: 14-day right of withdrawal and how it is waived
5.1 If you are a consumer in a jurisdiction whose mandatory law grants a right of withdrawal from distance contracts (including the EU/EEA under Directive 2011/83/EU and the United Kingdom under the Consumer Contracts Regulations 2013), you may in principle have the right to withdraw from a distance purchase within 14 days without giving a reason.
5.2 However, for the supply of digital content that is not supplied on a tangible medium — which includes Gold Units — the right of withdrawal is lost where performance (delivery) has begun with the consumer’s prior express consent and the consumer’s acknowledgement that the right of withdrawal is thereby lost.
5.3 Accordingly, at checkout you will be asked to expressly consent to immediate delivery of your Gold Unit and to acknowledge that you thereby lose your 14-day right of withdrawal. Delivery begins when the Gold Unit is credited to your account.
5.4 If, exceptionally, you complete a Purchase without giving that consent, or delivery has not begun, your statutory right of withdrawal (where it applies) remains unaffected: you may withdraw within 14 days and receive a full refund, provided the Gold Unit has not been delivered to your account.
5.5 Nothing in this Section limits any consumer right that cannot be waived under mandatory applicable law.
6. When a refund is not available
6.1 Except as set out in Section 4 or required by mandatory law, refunds are not available. In particular, and without limitation, the following are not grounds for a refund:
- change of mind after the Gold Unit has been delivered;
- the amount, timing, value or absence of rewards associated with a Gold Unit — rewards are variable, are not guaranteed and may be zero, as set out in the Terms of Use;
- changes in the market price of gold, PAXG, AYNI or any other digital asset;
- the availability, liquidity, prices or activity of the Marketplace, including inability to sell a Gold Unit;
- expectations based on marketing materials, calculators, projections or third-party statements, which are informational only and not binding (Terms of Use, Section 9.12);
- a Gold Unit that has been listed on the Marketplace, sold, transferred or externalized after purchase;
- rewards associated with the Gold Unit having been claimed, withdrawn or otherwise used;
- suspension, restriction or termination of your account or access in accordance with the Terms of Use (including for breach, prohibited conduct or failure to complete required verification);
- loss of access to your registered email account or wallet credentials (Terms of Use, Section 5);
- taxes, bank charges, currency conversion differences or other third-party costs.
7. How to request a refund
7.1 Contact us through the in-app support chat or by email at legal@ayni.gold.
7.2 Please include:
- the email address of your Platform account;
- the transaction date, amount and currency;
- the payment method used;
- the transaction / order reference (or provider receipt); and
- a description of the issue.
7.3 Time limits. Requests under Section 4.1(b) (duplicate charge) or 4.1(c) (incorrect amount) must be made within 60 days of the charge. Requests under Section 4.1(a) (non-delivery) should be made as soon as reasonably possible.
7.4 We aim to acknowledge your request within 24 hours. We may ask for additional information and may require identity verification (including KYC/AML checks) before processing a refund, in line with the AML/KYC & Compliance Policy.
8. How refunds are paid
8.1 Approved refunds are made only to the original payment method used for the Purchase, in the currency in which you were originally charged. Refunds cannot be paid to a different card, account, wallet or person, except where the original method is no longer available, in which case we will agree a lawful alternative with you.
8.2 Once we approve and initiate a refund, the time for the funds to reach you depends on the payment provider and your bank — typically 5 to 14 business days.
8.3 We refund the amount you were charged for the Purchase. We do not compensate for exchange-rate movements between the charge and the refund, or for fees applied by your bank or card issuer.
9. What happens to the Gold Unit when a refund is made
9.1 Where a Purchase is refunded (or reversed through a chargeback), the corresponding Gold Unit is cancelled and removed from your account, and:
- it ceases to be eligible for reward accrual with effect from the date of cancellation;
- any accrued but unclaimed rewards attributable to that Gold Unit are cancelled and forfeited; and
- if rewards attributable to that Gold Unit have already been claimed or settled, we may deduct their value from the refund amount or, where deduction is not possible, decline the refund to that extent or recover the value in accordance with the Terms of Use.
9.2 Where a Gold Unit has been externalized to an External Wallet (Phase 2 of the ownership model in the Terms of Use), the Company cannot seize or move on-chain assets. In such cases the Company may instead suspend or terminate the Gold Unit’s platform functionality and reward eligibility, and apply the measures in Sections 11 and 12.
10. Marketplace (secondary market) purchases
10.1 Purchases of Gold Units from other users on the Marketplace are transactions between users, settled in AYNI, at prices set by the selling user, with a service fee included in the buyer’s final price (Terms of Use, Section 8.5).
10.2 Marketplace transactions are final upon execution and are not refundable, reversible or cancellable by the Company. The Company operates the venue only: it is not a party to the transaction, does not guarantee any price or liquidity, and does not refund the Marketplace service fee.
10.3 A seller may cancel an active listing at any time before sale, free of charge.
10.4 This Section does not affect measures the Company may take under Sections 11 and 12 (for example, where a Marketplace transaction is connected to fraud).
11. Chargebacks and payment disputes
11.1 If you believe a charge is wrong or unauthorized, please contact us first (Section 7). Most issues can be resolved significantly faster than through a card dispute.
11.2 If we are notified of a chargeback, payment dispute or payment reversal relating to a Purchase, we may, while the dispute is pending:
- suspend the related Gold Unit, including Marketplace listing, transfer, externalization and claims of rewards attributable to it;
- suspend or restrict your account and withdrawals; and
- provide the payment provider with transaction and delivery evidence.
11.3 If the disputed funds are finally reversed and not reinstated, the related Purchase is treated as refunded: the Gold Unit is cancelled in accordance with Section 9, and any associated rewards are cancelled or recovered.
11.4 If the related Gold Unit has already been sold on the Marketplace to another user acting in good faith before the dispute arose, that user’s Gold Unit is not affected. In that case the Company may instead recover the equivalent value from you, including by set-off against your account balances, proceeds and unclaimed rewards, and may restrict your account pending recovery.
11.5 Initiating a chargeback in bad faith — including disputing a charge for a Gold Unit that was duly delivered to your account, without first contacting us — is a breach of this Policy and the Terms of Use. The Company may suspend or terminate the account of a user who abuses chargebacks, may recover dispute fees and costs where permitted by law, and may report fraudulent disputes to payment providers and competent authorities.
12. Fraud, unauthorized payments and risk controls
12.1 If you believe your payment method was used on the Platform without your authorization, contact us immediately (Section 7) as well as your bank or card issuer.
12.2 The Company takes payment fraud seriously and cooperates with payment providers, card schemes and competent authorities. Where we reasonably suspect that a Purchase was made with a stolen or unauthorized payment method, or is otherwise connected to fraud or money laundering, we may:
- suspend or cancel the related Gold Unit(s) and associated rewards;
- suspend the related account(s) and withhold withdrawals pending investigation, in line with the AML/KYC & Compliance Policy;
- require completion of identity verification; and
- report the matter and share related information as required or permitted by law.
12.3 Withdrawals always require KYC. Completion of platform identity verification is mandatory before any withdrawal or externalization of assets or rewards, as set out in the Terms of Use. This applies in full to proceeds connected to Gold Units.
12.4 Card purchases — 30-day resale lock. A Gold Unit purchased with a payment card may not be listed on the Marketplace, transferred or externalized for 30 days from the date of purchase. This holding period reflects the period during which a card payment may be subject to a chargeback. It does not apply to Gold Units acquired by payment methods that are not subject to chargebacks (such as supported crypto or Binance Pay payments). The holding period does not affect reward accrual for the Gold Unit, which continues during the lock, and will be disclosed at or before checkout. The Company may also apply other risk-based controls to Purchases, such as transaction limits, additional verification steps and enhanced monitoring.
13. Your statutory rights
13.1 This Policy does not exclude, limit or restrict any right or remedy that you have under mandatory applicable law and that cannot be lawfully excluded, limited or waived. Where such law grants you a broader refund or withdrawal right than this Policy, that law prevails to the extent required.
14. Changes to this Policy
14.1 The Company may update this Policy from time to time. The current version will be published on the Platform; material changes may also be notified by email or in-app notice. The version of this Policy in force at the time of your Purchase applies to that Purchase.
